By using our website, accepting a quote or proposal, or using our services or products, you agree to these Terms. If you do not agree, please do not use the website or our services.
1. About us
CapsLock (“CapsLock”, “we”, “us”, “our”) is a software house and digital marketing agency based in Lahore, Pakistan, working since 2016 as a fully remote team. “You” or “client” means the person or organisation using our website or engaging our services. If you accept these Terms on behalf of a company, you confirm that you have authority to bind that company.
Contact: info@capslock.pk, phone / WhatsApp +92 312 7032292.
2. Our services
We provide services including website development, web and mobile app development, custom software development, AI automation (such as WhatsApp AI agents and chatbots), search engine optimisation (SEO), social media marketing, content creation and online advertising. We also develop and license our own software products, such as FrontDesk hotel management software and CapsLock Campus school management software.
3. Using our website
You may use this website to learn about CapsLock and to contact us. When using it, you agree not to:
- use the website for any unlawful, fraudulent or harmful purpose;
- try to gain unauthorised access to the website, its server or any connected system, or interfere with its security or performance;
- upload or send viruses, malware or other harmful code;
- send spam, false enquiries or content that is offensive, defamatory or infringes anyone’s rights; or
- copy, scrape or reuse our content, design or code for commercial purposes without our written permission.
Misuse of the website may also be an offence under Pakistan’s Prevention of Electronic Crimes Act 2016 or other applicable laws. We may restrict or block access to anyone who breaches these Terms.
The information on our website is provided for general information only. We work to keep it accurate and up to date, but it does not form an offer or advice, and we may change it at any time without notice. Examples of past work, results and prices are illustrative and do not guarantee the same outcome for your project.
4. Website content and intellectual property
All content on this website, including text, graphics, logos, images, videos, designs and code, belongs to CapsLock or is used with permission, and is protected by intellectual property laws. You may view and share our pages for personal or internal business use, with credit to CapsLock. Any other use requires our written permission. Client names, logos and trade marks shown on the website belong to their respective owners.
5. Quotes, proposals and project agreements
- Quotes and proposals are based on the information you give us. They are valid for 30 days unless they state otherwise.
- A project begins once you accept a quote or proposal in writing (email or WhatsApp is enough) or sign a project agreement, and pay any agreed advance.
- The scope of work is what is described in the accepted quote, proposal or agreement. Any additional features, changes or work outside that scope may be charged separately and may affect the timeline. We will agree these with you before starting them.
- Timelines are estimates made in good faith. They depend on you providing content, feedback, approvals and access on time.
- Where we sign a separate project agreement, statement of work or service agreement with you, that document takes priority over these Terms if the two conflict.
6. Payments and milestones
- Fees, currency, payment method and the payment schedule are set out in your quote, proposal or agreement.
- Projects are usually billed in milestones, typically with an advance before work begins and further payments at agreed stages or on delivery. Ongoing services such as SEO, social media management, maintenance and hosting support are usually billed monthly in advance.
- Invoices are due within the period stated on the invoice, or within 7 days if no period is stated.
- If a payment is late, we may pause work, delay delivery or suspend ongoing services until it is paid.
- Advance payments cover work scheduled and resources reserved for your project, and are non-refundable once work has started, unless your agreement says otherwise.
- Prices do not include third-party costs such as domain names, hosting, paid plugins, app store fees, software licences, stock media or advertising spend, unless clearly stated. These are paid by the client, directly or through us.
- Any applicable taxes, bank charges or transfer fees are added where required.
7. Client responsibilities and approvals
- You agree to provide accurate information, content, feedback and access on time and to name a person who can make decisions and give approvals.
- We will share designs, builds, content and campaigns with you for review. Please check them carefully. Once you approve a stage, further changes to that stage may be treated as additional work.
- If you do not respond to a request for feedback or approval within 14 days, we may treat the deliverable as approved, or put the project on hold and reschedule it.
- If a project is on hold for more than 60 days because we are waiting for you, we may close it and invoice for the work completed so far.
- You are responsible for testing deliverables in your own environment before launch and for keeping your own backups of content and data.
8. Client content
You are responsible for all text, images, logos, videos, data and other material you provide to us or ask us to publish (“client content”). You confirm that you own it or have permission to use it, that it is accurate and lawful, and that it does not infringe anyone’s rights. You are also responsible for your own legal pages, product claims and compliance with laws that apply to your business, such as consumer, advertising and data protection laws. You agree to compensate CapsLock for any claims, losses or costs that arise from client content or from your instructions.
9. Intellectual property in project work
- Once you have paid all fees for a project in full, ownership of the final deliverables created specifically for you, such as your custom design, custom code and content, transfers to you, unless your agreement says otherwise.
- Until full payment is received, CapsLock keeps ownership of all work, and you may not use it in production.
- We keep ownership of our pre-existing tools, frameworks, code libraries, templates, know-how and our own software products. Where these form part of your deliverables, you receive a non-exclusive, perpetual licence to use them as part of that project.
- Third-party components, such as open-source software, themes, plugins, fonts, stock media and APIs, remain subject to their own licences.
- Unless you ask us not to in writing, we may mention you as a client and show non-confidential parts of the work in our portfolio and marketing.
10. Third-party services and platforms
Our work often relies on third-party services, such as hosting providers, domain registrars, WordPress and its plugins, payment gateways, app stores, Google, Meta (Facebook, Instagram and WhatsApp), TikTok, AI and messaging platforms and other APIs. These services are provided under their own terms and pricing. We are not responsible for their availability, policy changes, price increases, account suspensions, ad rejections or other decisions made by those providers. Accounts for these services should be held in your name wherever possible.
For marketing services such as SEO, social media and advertising, results depend on search engines, platform algorithms, competition and other factors outside our control. We do not guarantee specific rankings, traffic, followers, leads or sales.
AI automation and chatbots can make mistakes. You are responsible for reviewing how they are configured, for the information they give your customers, and for using them in line with the rules of the platform they run on.
11. Software products and licensing
Our own software products, such as FrontDesk and CapsLock Campus, are licensed, not sold. Your use of a product is subject to the product-specific terms, subscription plan, licence or agreement provided with it, which take priority over these Terms for that product. Unless those terms say otherwise:
- you receive a non-exclusive, non-transferable licence to use the product for your own business during your paid subscription or licence period;
- you may not copy, resell, sublicense, modify, reverse engineer or attempt to extract the source code of the product;
- you remain the owner of the data you enter into the product and are responsible for its accuracy and for having the right to use it; and
- we may update, improve or change product features, and may suspend access for non-payment or misuse.
12. Confidentiality
Both parties agree to keep confidential any non-public business, technical or financial information they receive from the other during a project, and to use it only for that project. This does not apply to information that is already public, independently developed or required to be disclosed by law. We are happy to sign a separate non-disclosure agreement on request.
13. Warranties
We will perform our services with reasonable skill and care, in line with good industry practice. If you report a defect in our own work within 30 days of delivery or launch, we will fix it at no extra cost. This does not cover issues caused by changes made by you or others, third-party software or service updates, hosting problems, or new requirements. Ongoing support and maintenance are available under a separate plan.
Apart from what is stated in these Terms or in your agreement, our website, services and products are provided “as is” and “as available”. We do not promise that they will be uninterrupted, error-free or completely secure, or that they will meet every requirement you have.
14. Limitation of liability
- To the fullest extent permitted by law, CapsLock is not liable for any indirect or consequential loss, or for loss of profits, revenue, business, data, goodwill or opportunity, however it arises.
- Our total liability to you for any claim related to a project or service is limited to the fees you have paid us for that project or service in the 6 months before the claim arose.
- We are not liable for delays or failures caused by events outside our reasonable control, such as internet or power outages, third-party service failures, cyberattacks, natural disasters, government action or other force majeure events.
- Nothing in these Terms limits liability that cannot legally be limited, such as liability for fraud.
15. Termination
- Either party may end a project or ongoing service by giving written notice. For monthly services, please give at least 30 days’ notice unless your agreement says otherwise.
- Either party may end a project immediately if the other seriously breaches these Terms or the project agreement and does not fix the breach within 14 days of being asked to.
- If a project ends early, you will pay for all work completed and costs incurred up to the end date. Once that is paid, we will hand over the completed work in line with section 9.
- Sections that by their nature should continue after termination, including payment, intellectual property, confidentiality and limitation of liability, will continue to apply.
16. Privacy
Our Privacy Policy explains how we handle personal information collected through our website and services. By using the website or our services, you acknowledge that policy.
17. Governing law and disputes
These Terms are governed by the laws of Pakistan. We will always try to resolve any disagreement with you in good faith first, so please contact us if you have a concern. If a dispute cannot be resolved informally, the courts of Lahore, Pakistan will have exclusive jurisdiction.
18. General
- If any part of these Terms is found to be invalid, the rest will remain in effect.
- If we do not enforce a right straight away, we can still enforce it later.
- You may not transfer your rights or obligations under these Terms without our written consent.
- Notices may be sent by email to the addresses we normally use to communicate.
19. Changes to these Terms
We may update these Terms from time to time. The latest version will always be on this page, with the effective date at the top. Changes apply from the date they are published, but will not affect projects already agreed under an earlier version unless both parties agree.
